1. Introduction

These terms and conditions govern your use of the SEO Agency Watford website (seoagencywatford.co.uk) and the services provided by The Web Design Company, operated by Nish Thenuwara ("we", "us", "our"). By using our website or engaging our services, you agree to these terms.

2. Services

We provide search engine optimisation (SEO), web design, Google Ads management, and related digital marketing services. The specific deliverables, timelines, and fees for each engagement are agreed in writing before work begins, either by email confirmation or a formal proposal document.

3. Pricing and Payment

  • All prices are quoted in GBP (£) and are exclusive of VAT (we are not VAT registered).
  • Monthly retainer services are billed on the first working day of each month and are due within 14 days.
  • One-off projects (web design, audits) require a 50% deposit before work begins, with the balance due on completion.
  • We accept bank transfer (BACS), Stripe, and PayPal.
  • Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4. Free SEO Audits

Our free SEO audit is provided without obligation. It includes an analysis of your website, Google Business Profile, backlinks, and competitors. The audit remains our intellectual property until a paid engagement is agreed. You may use the findings to inform your own marketing strategy.

5. Client Responsibilities

When engaging our services, you agree to:

  • Provide timely access to your website, hosting, and any third party accounts needed to deliver the agreed services.
  • Provide accurate and complete information about your business.
  • Review and approve deliverables within a reasonable timeframe (typically 5 working days).
  • Ensure that any content you provide does not infringe third party rights.

6. Intellectual Property

  • All content, designs, and code created by us remain our intellectual property until full payment is received.
  • Upon full payment, ownership of bespoke designs and website code transfers to you. This does not include proprietary tools, templates, or methodologies we use to deliver our services.
  • We reserve the right to showcase completed work in our portfolio and case studies unless you request otherwise in writing.

7. Results Disclaimer

SEO is a long-term strategy influenced by many factors outside our control, including search engine algorithm changes, competitor activity, and market conditions. While we use proven methods and industry best practices, we cannot guarantee specific rankings, traffic figures, or revenue outcomes. We do guarantee that we will apply our full expertise and experience to every campaign.

8. Cancellation and Refunds

  • Monthly retainer services may be cancelled with 30 days written notice. Work completed up to the cancellation date will be billed in full.
  • One-off project deposits are non-refundable once work has begun.
  • If we are unable to deliver the agreed services, we will refund any fees paid for undelivered work.

9. Limitation of Liability

To the maximum extent permitted by law, our liability for any claim arising from our services is limited to the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental damages, including lost profits, lost data, or business interruption.

10. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, analytics data, customer information, and any other sensitive materials. This obligation survives the termination of our agreement.

11. Website Use

You may use our website for lawful purposes only. You must not:

  • Attempt to gain unauthorised access to our systems.
  • Use automated tools to scrape or extract content from our website.
  • Reproduce, distribute, or modify our content without written permission.

12. Third Party Links

Our website may contain links to third party websites. We are not responsible for the content, privacy practices, or availability of these external sites.

13. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
